How Can I Make a Profit?
There is no guarantee that your shares will increase in value. However, if the TCM group grows in line with its previous history and predicted forecast, your shares will increase in value. As an example, if the company doubles in revenue and profit each year, so will the value of the business, and the value of your shares.
You can profit from your shares in one of the following three ways:
- Selling Shares: Most investments into private companies are held for a long time to maximise returns on investment. However, you may decide that you wish to sell your shares to realise cash at any time. To sell your shares, you are subjected to a “pre-emption", which means you must offer existing shareholders the opportunity to buy your shares on a pro rata basis, before the shares can be sold to a third party purchaser. Is no current shareholder wishes to buy your shares, you have the freedom to sell your shares to any buyer of your choice.
- Dividends: Dividends are paid to each shareholder based on the company’s distributable reserve profits. Meaning every year, you could receive a proportion of the company’s profits based on your shareholding. As TCM is focused on growth, the main mission is to increase revenue and the valuation of the company, meaning for the first year or two, there is unlikely to be any profits paid until TCM starts to optimise its strategy towards profit before exit.
- Exit: Our main goal is to exit the business by means of sale, acquisition or going public on the stock exchange within a 5 year period after having achieved our forecast valuation. Even though we aim to do this within 5 years, our main focus is exiting the business at a time that is most lucrative for all shareholders.
What is expected of me as an Investor?
The beauty of being an investor is that your contribution is the money itself. Whereas most people in the company have full-time roles, responsibilities, pressure, and stress – there is no mandatory involvement in the day-to-day running of the business.
However, it is of course within your best interests for The Coaching Masters to grow, as this will in turn grow your own shares in the company. So if there is anything that you possess that you feel could aid the Coaching Masters in its growth, such as ideas, experience, networking contacts etc; this would be warmly welcomed alongside the financial investment. Although, not an obligation or requirement.
